Terms of Service

1. Acceptance of These Terms

These Terms of Service (“Terms”) form a legally binding agreement between you and Inevara Pty Ltd (ABN [TBD — confirm with Inevara Pty Ltd before public launch]) (“Inevara”, “we”, “us”, or “our”) governing your use of the SETTL platform.

By creating an account, accessing, or using the Platform, you agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference.

If you do not agree to these Terms, you must not create an account or use the Platform.

2. Eligibility

You must be at least 18 years of age to create an account or use the Platform. By agreeing to these Terms you represent and warrant that you are 18 or older and have the legal capacity to enter into a binding contract.

If you are using the Platform on behalf of a business entity, you represent and warrant that you have authority to bind that entity to these Terms.

3. Description of the Platform

3.1 What SETTL is

SETTL is an online trade services marketplace. We connect homeowners and commercial property owners (“Consumers”) with independent licensed trade professionals (“Providers” or “Tradies”) including electricians, plumbers, carpenters, painters, tilers, roofers, and other licensed trades.

SETTL uses AI-powered matching technology to surface Providers whose trade licence, service area, availability, and pricing align with a Consumer’s job requirements.

3.2 Milestone escrow payments

SETTL facilitates milestone escrow payments. When a Consumer accepts a quote, agreed funds are held in escrow and released to the Provider only upon Consumer sign-off of each completed milestone. This protects both parties.

3.3 What SETTL is not

Inevara is a technology platform operator, not a provider of trade services. All trade services are performed by independent Providers who are separate legal entities from Inevara. We do not employ Providers, and we do not direct or control the manner in which they perform their services.

4. User Accounts

4.1 Registration

To access most Platform features, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

4.2 Account security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you become aware of any unauthorised use.

4.3 Account suspension and termination

We reserve the right to suspend or terminate your account at any time if we reasonably believe you have breached these Terms or engaged in fraudulent or harmful conduct.

5. Jobs, Quotes, and Bookings

5.1 Requesting a quote

Consumers may submit quote requests describing the work needed. SETTL matches the request with suitable Providers, who may then submit a quote. A booking is confirmed when the Consumer accepts a quote and payment authorisation is obtained.

5.2 Provider obligations

Providers who accept a booking agree to: (a) hold all licences, permits, and insurance required by applicable law; (b) deliver the work at the agreed milestones; (c) treat consumers with professionalism; and (d) comply with all applicable workplace health and safety obligations.

5.3 Cancellations

Cancellation policies are set by individual Providers and displayed on their profile and during the booking flow. If a Provider cancels a confirmed booking, the Consumer will receive a full refund of any amounts held in escrow for that booking.

5.4 Disputes about work quality

If you have a complaint about the quality of work, contact us at [email protected] and we will use reasonable efforts to mediate. Milestone escrow funds will not be released during an active dispute.

6. Payments, Escrow, and Refunds

6.1 Payment processing

Payments are processed by third-party payment service providers including Stripe and/or Paddle. All prices are in Australian Dollars (AUD) unless otherwise stated. GST is calculated and displayed before payment confirmation.

6.2 Milestone escrow

When a Consumer accepts a quote, the agreed amount is held in escrow. Funds are released to the Provider only when the Consumer confirms each milestone is complete. The Consumer must not unreasonably withhold sign-off on completed milestones.

6.3 Platform fees

Inevara charges Providers a platform service fee on completed jobs. This fee structure is disclosed to Providers during account setup.

6.4 Refunds

Escrow funds for cancelled jobs will be returned to the Consumer within 5 business days of cancellation confirmation. Nothing in this Section limits any rights you may have under the Australian Consumer Law.

7. User Content

The Platform allows you to upload content including property photos and job site images (“User Content”). You retain ownership of any intellectual property rights you hold in your User Content.

By uploading User Content, you grant Inevara a non-exclusive, worldwide, royalty-free, revocable licence to host, store, reproduce, and display your User Content solely for the purpose of operating the Platform.

You must not upload content that infringes third-party rights, contains malware, or is otherwise prohibited under Section 9.

8. Provider-Specific Terms

The following additional terms apply to trade professionals registered as Providers:

  • You must hold and maintain all trade licences, permits, and insurance required by applicable law in the jurisdictions where you offer services.
  • You must accurately represent your licence type, service areas, pricing, and availability on your profile.
  • You must not accept jobs you cannot fulfil and must update your availability promptly.
  • You are solely responsible for all applicable tax obligations on income earned through the Platform, including GST registration where required.
  • You must not solicit consumers to transact outside the Platform to circumvent Platform fees within 12 months of a first introduction facilitated through SETTL.

9. Prohibited Conduct

You must not use the Platform to:

  • Violate any applicable law, regulation, or court order
  • Engage in fraud, misrepresentation, or deception
  • Harass, abuse, threaten, or intimidate any other user
  • Infringe the intellectual property or privacy rights of any person
  • Use automated tools, bots, or scrapers without our prior written consent
  • Interfere with the Platform, servers, or networks
  • Attempt to probe or test the vulnerability of our systems
  • Create multiple accounts or create an account after termination

10. Intellectual Property

The Platform, including its software, design, trade marks, and all content created by Inevara, is owned by or licenced to Inevara. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose.

11. Disclaimers

To the maximum extent permitted by law, the Platform is provided “as is” and “as available” without warranties of any kind. We do not make any representation or warranty about the quality, suitability, safety, reliability, or credentials of any Provider. We encourage consumers to conduct their own due diligence before accepting a quote.

12. Limitation of Liability

12.1 Australian Consumer Law carve-out

Nothing in these Terms limits or excludes any guarantee, warranty, right, or remedy that cannot lawfully be excluded or limited under the Australian Consumer Law.

12.2 Limitation where permitted

To the maximum extent permitted by law, Inevara’s liability to you for any claim is limited to: (a) for Platform subscription fees: the amount you paid to Inevara in the 12 months preceding the claim; or (b) for claims arising from a specific job: the escrow amount for that job.

12.3 Consequential loss exclusion

To the maximum extent permitted by law, Inevara is not liable for any indirect, incidental, special, consequential, or punitive loss.

13. General Provisions

13.1 Governing law

These Terms are governed by and construed in accordance with the laws of the State of Queensland, Australia. You and Inevara submit to the exclusive jurisdiction of the courts of Queensland and the Federal Court of Australia.

13.2 Entire agreement

These Terms (including the Privacy Policy) constitute the entire agreement between you and Inevara with respect to your use of the Platform.

13.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed. The remaining provisions continue in full force and effect.
